The country represents only 3% of the continent&#8217;s surface area, yet it accounts for<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">approximately 40% of all industrial output, 25% of gross domestic product (GDP), over half of generated electricity and 45% of mineral production in Africa.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">As well as a strong industrial base, South Africa has a sophisticated financial sector and the country\u2019s main stock exchange is among the top 20 in the world. In its 2012-13 \u2018Global<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Competitiveness\u2019 report, the World Economic Forum ranked South Africa second in the world for the accountability of its private institutions and third for its financial market\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">development.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Since independence, South Africa has achieved a good level of macro-economic stability, with economic activity occurring in four main metropolitan areas \u2013 namely the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">Witwatersrand area surrounding Johannesburg in the Gauteng Province, the Durban\/Pinetown area in KwaZulu-Natal, the Cape Peninsula and the Port\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">Elizabeth\/Uitenhage area in the Eastern Cape.<\/p>\n<p><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><strong>IMPORTS, EXPORTS AND FREE TRADE AREAS<\/strong><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Most of South Africa&#8217;s exports to industrialised countries consist of primary and intermediate commodities. A large proportion of exports consist of unprocessed raw<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">materials, with the mining industry contributing the greatest proportion of the country&#8217;s total exports. However, more of South Africa&#8217;s raw materials are now being\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">processed in South Africa before being exported.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">South Africa is a major exporter of gold, diamonds and platinum, as well as other metals and minerals. The country is also a key exporter of maize, wine and fruit. Main export partners are China, the USA, Japan, Germany and India.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Imports include mainly machinery and equipment, chemicals, petroleum products and foodstuffs, with China, Germany, Saudi Arabia, the USA and Japan chief import partners.<\/p>\n<p><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><strong>BLACK ECONOMIC EMPOWERMENT AND AFFIRMATIVE ACTION<\/strong><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Black Economic Empowerment (BEE), a programme which promotes the accelerated integration of black people into the South African economy, has been a policy of the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">government since 1994.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">It was crystallised into legislation with the Broad Based Black Economic Empowerment Act of 2003. The act provides the legislative framework for broad-based black economic\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">empowerment (BBBEE) by defining the policy, outlining the mechanisms for the regulation and measurement of BEE, and establishing the Black Economic Empowerment Advisory\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">Council.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">BBBEE involves the economic empowerment of all black people (which, subject to certain limitations, includes black, Indian and coloured South Africans) within four interrelated\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">contexts:<\/span><\/span><\/p>\n<ul>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Direct empowerment \u2013 increasing the number of black people who manage, own andcontrol enterprises and productive assets\n<p><\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Human resource and skills development \u2013 achieving equitable representation in all occupational categories and at all levels of the workforce<\/span><\/span><\/li>\n<\/ul>\n<ul>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Indirect empowerment \u2013 promotion of preferential procurement from empowered enterprises and investment in enterprises owned or managed by black people<\/span><\/span><\/li>\n<\/ul>\n<ul>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Socio-economic development initiatives.<\/span><\/span><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><strong>REPRESENTATIVES, DISTRIBUTORS AND FRANCHISERS<\/strong><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">There is no specific legislation dealing with these areas, which are regulated by commonlaw.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Foreign persons are free to conclude representation, agency, distribution and franchising agreements with local persons. These are common methods for overseas organisations to\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">promote and sell their goods in South Africa.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">No formalities are required for the conclusion of such agreements. They may be oral but it is obviously preferable that they be committed to writing. Legal firms should be able to\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">provide all the necessary assistance.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Most contracts tend to be subject to South African law, but there is generally no bar to any foreign law serving as the governing law, as long as there is some nexus between<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\"> that law and the contract. The parties are free to agree on which court will have jurisdiction, or alternatively, agree that any disputes will be referred to arbitration. In short, the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">parties have free scope to regulate their relationship as they deem fit.<\/span><\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><strong>CORPORATE INCOME TAX<\/strong><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><strong>TAX RESIDENTS<\/strong><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Legal entities qualify as tax residents if they are incorporated, established, formed or effectively managed in or from South Africa.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><strong>INCOME<\/strong><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">All resident companies are taxed on gross income, irrespective of where in the world that income is earned. Resident companies are entitled to foreign tax credits for taxes paid or\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">payable offshore, subject to several restrictions.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Non-resident business entities, including branches of foreign companies, are taxed only on income derived from South African sources or sources deemed to be located in South\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">Africa, as well as on capital gains in respect of South African immovable property or rights in immovable property and assets which are attributable to the permanent establishment\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">(PA) of that company. However, a DTA with South Africa may provide otherwise.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">In addition, the Income Tax Act (ITA) contains controlled foreign company (CFC) rules, which may function to attribute an amount equal to the net income of the CFCs to South\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">African resident shareholders. Several exemptions are available, essentially in respect of a substantial business presence of the CFC offshore.<\/p>\n<p><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><strong>TAX RATES<\/strong><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">The current corporate income tax rate is 28%.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">A trust is subject to income tax at a rate of 40%, though special trusts are taxed on a sliding scale from 18\u201340%.<\/p>\n<p><\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><strong>Manager\u2019s Office<br \/>\nFinancial Dept<\/strong><\/span><\/span><\/p>","protected":false},"excerpt":{"rendered":"<p>South Africa is a major exporter of gold, diamonds and platinum, as well as other metals and minerals.
