It is the 26th largest economy of the world.<\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">The World Bank (WB) and International Finance Corporation\u2019s flagship report \u2018Ease of\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">Doing Business 2014\u2019 ranked Pakistan 110 among 189 countries around the globe. Pakistan\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">ranks higher than India and Bangladesh which are at number 134 and 130 respectively.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">(The top five countries are Singapore, Hong Kong, New Zealand, the United States and\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">Denmark.)<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Pakistan\u2019s economy has maintained higher and broad based economic growth in outgoing\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">fiscal year 2014-15 despite a number of internal and external challenges. During fiscal year\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">2014-15 economic environment in the country remained confronted with number of\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">challenges such as war against extremism, energy shortages, settlement of IDPs and\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">strengthening of state institutions. Moreover, political conditions started deteriorating in\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">August 2014, due to street sitins\/ dharnas followed by lengthy demonstrations nationwide\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">until December. Concurrently, floods hit various areas of the country in September which\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">impacted agriculture and infrastructure sectors and also damaged some major agricultural\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">crops like sugar, rice and cotton along with other losses.<\/span><\/span><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">INVESTMENT OPPORTUNITIES<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">There are good investment opportunities in the following sectors of Pakistan\u2019s economy:<\/span><\/span><\/p>\n<ul>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Oil &amp; gas<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Energy and power<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Alternative energy<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">IT projects<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Telecommunications<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Agriculture &amp; agro-based projects<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Housing and construction<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Infrastructure<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Health projects<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Mining &amp; minerals<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Services sector<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Tourism projects<\/span><\/span><\/li>\n<\/ul>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">LICENCE REQUIREMENTS<\/span><\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">SPECIALISED BUSINESSES<\/span><\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">In Pakistan, certain businesses have been declared specialised and in addition to corporate\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">and tax requirements, a specific licence is required to commence such businesses. These\u00a0\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">businesses are banking companies, non-banking finance companies, security service\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">provision companies, corporate brokerage houses, money exchange companies, a\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">company which invests in arms and ammunition, security printing, currency and mint, and\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">companies dealing with high explosives and radioactive substances.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Certain conditions e.g. as to minimum capital, qualification of directors, corporate\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">structure and area of operations etc. are required to be complied for a company to obtain\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">the proper licences. However, the conditions for granting of the licence may vary from\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">business to business.<\/span><\/span><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">BUSINESS ORGANISATIONS<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">After complying with the requirements for a licence, a business can be established in any of\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">the following forms set out below.<\/span><\/span><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">SOLE PROPRIETORSHIP<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">An individual may set up the business as a sole proprietor without any registration except\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">with income tax and sales tax authorities.<\/span><\/span><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">PARTNERSHIP FIRM<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">A partnership firm can be established by executing a partnership deed on a stamp paper\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">and getting the same firm notarised by the authorised Notary Public Magistrate. The\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">Partnership Act 1932 is the legal framework for partnership firms. The firm needs to be\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">registered with the respective registrar of firms in the area and also needs to ensure\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">registration with the income tax and sales tax authorities.<\/span><\/span><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">COMPANIES\u00a0<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">The Companies Ordinance 1984 (the Ordinance) and the Companies (General Provisions\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">and Forms) Rules 1985 provide the legal framework for operations of companies in\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">Pakistan and the Securities and Exchange Commission of Pakistan (the Commission) is the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">regulatory authority in this regard.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">In Pakistan, a company may be formed with or without limited liability and the Ordinance\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">provides for the following categories of company:<\/span><\/span><\/p>\n<ul>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">A company limited by shares<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">A company limited by guarantee<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">An unlimited company.<\/span><\/span><\/li>\n<\/ul>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Companies formed in any of the above categories can further be classified into the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">following types:<\/span><\/span><\/p>\n<ul>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Private companies<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Public companies<\/span><\/span><\/li>\n<li><span style=\"color: #000033;\"><span style=\"font-size: small;\">Single member company.<\/span><\/span><\/li>\n<\/ul>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">FORMATION OF A COMPANY<\/span><\/span><\/strong><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">PUBLIC COMPANY<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Any three or more persons associated for any lawful purpose may, by subscribing their\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">names to a Memorandum of Association (document which defines the objectives of the c<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">ompany) and complying with the registration requirements, form a public company.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">There is no limit as to the maximum number of members of such a company and after\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">complying with the prescribed requirements; it may offer its shares and other securities to\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">the general public. The public company may have its shares and other securities listed on\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">the stock exchange(s).<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">The name of every public limited company should include the word \u2018Limited\u2019 as the last\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">part of the name.<\/span><\/span><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">PRIVATE COMPANY<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">A private company can be established by any one or more persons associated in such\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">manner as specified in the case of a public company and means a company which by its\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">articles of association (the document defining the standard operating procedures of the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">company):<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">&#8211; Restricts the right to transfer its shares, if any<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">&#8211; Limits the number of its members to 50, excluding the persons who are in employment\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">of the company<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">&#8211; Prohibits any invitation to the public to subscribe for the shares, if any, or debentures of\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">the company.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">The name of every private company and companies limited by guarantee should\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">respectively include the parenthesis and word \u2018Private\u2019 and \u2018Guarantee\u2019 before the last\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">word \u2018Limited\u2019.<\/span><\/span><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">NOT-FOR-PROFIT ORGANISATIONS<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">The Commission may grant a licence to a not-for-profit association for the promotion of\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">commerce, art, science, religion, sports, social services, charity or any other useful object\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">to be registered as a company with limited liability without the addition of the words\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">\u2018Limited\u2019, \u2018(Private) Limited\u2019 or \u2018(Guarantee) Limited\u2019 as the case may be, to its name.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">FEE SCHEDULE<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">The schedule of fees for online registration of a company is as follows:<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">* For the registration of a company whose nominal share capital does not exceed\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">PKR100,000, the fee shall be PKR 2,500<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">* For the registration of a company whose nominal share capital exceeds PKR 100,000, a\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">fee of PKR 2,500 is payable, along with an additional fee determined according to the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">amount of nominal share capital as follows:<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\"><span style=\"color: #000033;\"><span style=\"font-size: small;\">\u2212<\/span><\/span> For every PKR100,000 of nominal share capital or part of PKR100,000, after the first\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">PKR100,000 up to PKR5,000,000, there is a fee of PKR 500<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">\u2212 For every PKR100,000 of nominal share capital or part of PKR100,000, after the first\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">PKR5,000,000, there is a fee of PKR 250.<\/span><\/span><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">\u2212 For every 100,000 rupees of nominal share capital or part of 100,000 rupees, after the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">first 5,000,000,000 rupees, up to any amount a fee of PKR 100.<\/span><\/span><\/p>\n<p><strong><span style=\"color: #000033;\"><span style=\"font-size: small;\">SINGLE MEMBER COMPANY<\/span><\/span><\/strong><\/p>\n<p><span style=\"color: #000033;\"><span style=\"font-size: small;\">Any person may form a single member company and would file with the registrar at the\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">time of incorporation a nomination in the form as set out in Form S1 indicating at least two\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">individuals to act as nominee director and alternate nominee director, of the company in\u00a0<\/span><\/span><span style=\"color: #000033;\"><span style=\"font-size: small;\">the event of his death.
